COOPERATION AGREEMENT

Pursuant to the mission and training objectives of the Faculty of Foreign Languages – Ho Chi Minh City University of Industry and Trade;

Pursuant to the operational functions, business development orientation, and cooperation needs of the Branch of Van Dat Manufacturing Trading Company Limited;

Pursuant to the working session outcome on May 20, 2025, between the leadership representatives of Ho Chi Minh City University of Industry and Trade and the Branch of Van Dat Manufacturing Trading Company Limited;

Today, May 24, 2025, at Ho Chi Minh City University of Industry and Trade, we comprise:

PARTY A: FACULTY OF FOREIGN LANGUAGES – HO CHI MINH CITY UNIVERSITY OF INDUSTRY AND TRADE

After discussion, both Parties mutually agree to enter into this Cooperation Agreement under the following terms and conditions:

Article 1: Cooperation Objectives

Both Parties agree to execute this Cooperation Agreement to establish a cooperative relationship for mutual development, maximizing the strengths of both parties and serving the community.

Article 2: Content of Cooperation

2.1. Support from Branch of Van Dat Manufacturing Trading Company Limited

(i) Consider accepting or connecting Ho Chi Minh City University of Industry and Trade students for field visits, practical training, internships, and graduation thesis projects, with intake numbers and positions depending on the Company's actual needs;

(ii) Support training activities, innovation, entrepreneurship, science and technology, as well as the application of the University's research results into the Company's practical operations;

(iii) Participate in co-organizing job fairs and career orientation programs for students with the University, along with workshops to enhance learners' awareness of fields relevant to both the University and the Company;

(iv) Give priority to hiring graduates of Ho Chi Minh City University of Industry and Trade to work at the Company;

(v) Participate in community service activities to enhance the role, prestige, and brand reputation of both the University and the Company;

(vi) Be permitted to use the University's logo to elevate the prestige and brand reputation of both parties within the framework of the law, provided that the University's image and logo shall not be exploited for unlawful acts.

2.2. Support from Ho Chi Minh City University of Industry and Trade

(i) Promote the Company's Name and Logo on the website of Ho Chi Minh City University of Industry and Trade;

(ii) Communicate job and career opportunities from Party B on the official information portals of Ho Chi Minh City University of Industry and Trade. Promotional activities shall be conducted in accordance with the current procedures of Ho Chi Minh City University of Industry and Trade;

(iii) Provide a list of students from Ho Chi Minh City University of Industry and Trade who wish to participate in recruitment programs, field visits at the Company, and conferences/workshops co-organized by both parties;

(iv) Notify and invite Party B to attend workshops, career fairs, activities related to training, innovation, entrepreneurship, scientific research, and technology transfer, or events relevant to Party B;

(v) Assist the Company in technology development, business and production innovation, operational process standardization, human resources enhancement training, and addressing issues of Party B that Party A is capable of supporting in accordance with State regulations;

(vi) Be permitted to use Party B's logo to elevate the prestige and brand reputation of both parties within the framework of the law, provided that the Company's image and logo shall not be exploited for unlawful acts.

Article 3: Implementation

Ho Chi Minh City University of Industry and Trade appoints Mr. Tran Tin Nghi, Title: Dean of Faculty of Foreign Languages, Phone number: 0906687662, as the contact point to coordinate and implement the commitments set forth in Article 2 of this Cooperation Agreement.

Branch of Van Dat Manufacturing Trading Company Limited appoints Ms. Le Thi Mai, Title: Director, Phone number: 0938149285, as the contact point to coordinate and implement the commitments set forth in Article 2 of this Cooperation Agreement.

Article 4: General Terms and Validity

4.1. Both Parties commit to strictly fulfilling the terms and conditions of this Cooperation Agreement and shall not unilaterally terminate or cancel the Agreement. Any amendments or supplements to this Agreement must be mutually agreed upon by both Parties in writing.

4.2. Both Parties commit to promptly notifying each other of any issues arising during the performance of the Agreement and resolving them together based on the Agreement in a spirit of goodwill and mutual cooperation.

4.3. This Cooperation Agreement shall be effective for a period of 01 (one) year from the date of signature. Upon expiration of this period, both Parties shall discuss and agree; if deemed appropriate, cooperation may continue for subsequent years without requiring a re-execution of the agreement.

4.4. This Cooperation Agreement is made in 02 (two) copies in Vietnamese, each having equal legal validity. Each Party shall retain 01 (one) copy for execution.
